About the Role

The Corporate Secretary and Director, Legal is a dual leadership role supporting the Board of Directors and executive leadership through disciplined governance and practical legal oversight. Lead corporate secretarial functions, oversee Board and committee meetings, and ensure compliance with by-laws, policies, and statutory obligations. Act as a trusted advisor providing sound judgment, clear options, and forward-looking guidance. Coordinate internal legal work and external counsel as needed.

Key Responsibilities

  • Primary legal advisor to the Board, enabling effective governance and decision-making.
  • Lead corporate secretarial functions including meetings, governance processes, and record management.
  • Provide practical legal and governance advice.
  • Manage external legal counsel and handle contracts and real estate matters internally to improve efficiency and control costs.
  • Ensure adherence to by-laws, policies, and regulatory requirements with up-to-date governance documentation.

Qualifications

  • LL.B, member in good standing with the Canadian Law Society and Manitoba Bar Association.
  • Progressive experience in corporate law, governance, corporate secretarial, or legal operations.
  • Experienced supporting Boards and committees in governance and meeting administration.
  • Strong knowledge of by-laws, governance frameworks, statutory obligations, and Board decision-making.
  • Skilled in managing external legal counsel and legal workflows with budget oversight.
  • Experienced in contracts and commercial matters; real estate and regulated environments are a plus.
  • Excellent judgment, communication, interpersonal skills, and high discretion working with senior leaders.
  • Governance education like ICD.D is an asset.
