About the Role

The Corporate Secretary and Director, Legal is a key leadership position providing dual-function governance and legal oversight. This role supports the Board of Directors and executive leadership by ensuring disciplined governance practices and practical legal advice. Responsibilities include leading corporate secretarial duties, managing Board meetings, ensuring bylaws and policies are followed, and coordinating internal and external legal work efficiently.

Qualifications

  • LL.B and membership in the Canadian Law Society and Manitoba Bar Association
  • Extensive experience in corporate law, governance, legal operations
  • Expertise in supporting Boards of Directors and committees
  • Strong knowledge of bylaws, governance frameworks, and statutory obligations
  • Skilled in managing external counsel and legal workflow
  • Effective communicator with strong judgment and interpersonal skills
  • Governance certification like ICD.D is an asset
